Terms and Conditions

The services that PHPjabbers.com provides to you are subject to the following User Agreement. PHPjabbers.com reserves the right to update the User Agreement at any time without notice to you.

“LICENSOR” in this document refers to VEVS, Ltd., a company formed under the laws of Republic of Bulgaria. LICENSOR's Software is COPYRIGHTED and LICENSED (NOT SOLD). LICENSOR does not sell title to the LICENSED Software to You (either an individual or a single entity) “LICENSEE”.

This LICENSE AGREEMENT is a legal agreement between LICENSOR and LICENSEE for all PHPjabbers.com software products, which includes computer software, programs, scripts, developer tools, download areas and may include associated media, printed materials, and online documentation, collectively referred to as the “Software”. You/ LICENSEE agree to be bound by the terms of this LICENSE AGREEMENT by using (installing, copying, accessing, displaying and running) the Software. If you do not agree, do not install or use the Software.

1. Grant of license
LICENSOR hereby grants to LICENSEE, and LICENSEE accept, a nonexclusive license to install, use, access, display and run the downloaded Software, and any accompanying files, only as authorized in this LICENSE AGREEMENT. The Software may be used on any website, or domain owned or operated by LICENSEE. In no circumstance can you modify the script to be used as a hosted service for multiple customers. You agree that you will not assign, sublicense, transfer, pledge, lease, rent, or share your rights under this License Agreement.
You agree and acknowledge that any alteration or modification of The Software (a) is made and used at Your own risk, (b) may be used only by You for Your internal purposes in accordance with the limited purposes set forth in this License Agreement, and (c) may not directly or indirectly be sold, resold, licensed, distributed or otherwise transferred to any third party or parties. We may choose at our sole discretion to void the technical support. Please note that modification of our Software may make it much more difficult to upgrade with any releases we offer in the future.

2. License Fees
The license fees paid by you are paid in consideration of the licenses granted under this LICENSE AGREEMENT.

3. Term
This LICENSE AGREEMENT is effective upon your submission and successful processing of your registration application, including but not limited to receipt of full registration fees.

4. Copyright and intellectual property
Any Software that is made available to download from PHPjabbers.com website is the Copyright of VEVS Ltd. and is protected by Bulgarian and International copyright laws and other intellectual property laws and treaties. The Product is licensed, not sold. Licensor shall have sole and exclusive ownership of all right, title, and interest in and to the Licensed Software and all modifications and enhancements thereof (including ownership of all trade secrets and copyrights pertaining thereto), subject only to the rights and privileges expressly granted to you herein by Licensor.

5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND YOU ASSUME ALL RISK WITH ITS INSTALLATION, CONFIGURATION AND USE AND AS SUCH THERE ARE NO WARRANTIES, CLAIMS OR REPRESENTATIONS MADE BY VEVS Ltd.

6. Limitation of Liability
Licensor's cumulative liability to you or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this Agreement shall not exceed the license fee paid to Licensor for the use of the Program. In no event shall Licensor be liable for any indirect, incidental, consequential, special, or exemplary damages or lost profits, even if Licensor has been advised of the possibility of such damages.

7. Upgrades
Free technical support is provided via email for one year from the date of entering this License Agreement. To use Software identified as an upgrade, you must first be licensed for the product identified by PHPjabbers.com as eligible for the upgrade. You will receive all stable version upgrades for free. This means that if current version is 1.1 you will receive all future versions - 1.2, 1.3, 1.4, ….. for free. You can buy the next Software generation 2.1 with 50% discount.

8. Promotional Materials
You agree to allow PHPjabbers.com send you promotional e-mail under your registration for Software License. At any time You can unsubscribe to stop receiving such e-mails and promotional materials.

9. Restrictions
You may not: (a) reproduce or distribute all or any portion of The Software to any third party; (b) remove any proprietary notices from The Software or any copy thereof; (c) sell, assign, rent, transfer, distribute, act as a service bureau, or grant rights in The Software to any other person; (d) use The Software in violation of any applicable law, regulation or ordinance as per item. Further, You may not use The Software or any related services to develop, generate, transmit or store information that: (i) infringes any third party's intellectual property or other proprietary right; or (ii) make its use illegal in respect thereof, as herein mentioned or subject to the laws and or regulations of any other country or jurisdiction(s), or any other party's rights. You may not use the Software in any manner that could damage, disable, overburden, or impair any PHPjabbers.com server, or the network(s) connected to any PHPjabbers.com server, or interfere with any other party's use and enjoyment of any Software.

10. Your Responsibilities
In addition to the other terms and conditions set forth in this License, You are responsible for providing and maintaining all equipment and Internet connections necessary to install and properly use The Software. PHPjabbers.com does not access, control, edit or screen any message or posting content transmitted using The Software or related services; therefore, you are solely responsible for the receipt or transmission of any and all content using The Software as and when you use The Software.

11. Indemnity
You agree to indemnify, hold harmless, and defend PHPjabbers.com, at Your expense, against any and all third-party claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs or expenses.

12.Termination
Without prejudice to any other rights, VEVS Ltd. may cancel this LICENSE AGREEMENT at anytime and without notice if you do not abide by the terms and conditions of this LICENSE AGREEMENT, or the terms and conditions of any other agreement with VEVS Ltd. it's partners, affiliates, or resellers, in which case you must destroy all copies of the Product and all of its component parts. VEVS Ltd. may terminate this License if You fail to comply with the terms of this License or any applicable agreement relating to professional or other services may provide to You. You may terminate this License at any time by destroying or removing from all hard drives, networks, and other storage media all copies of The Software. Upon any termination, You must remove The Software from Your computer equipment and destroy all originals and copies of The Software in Your possession.

13. Refund Policy
Since PHPjabbers.com is offering non-tangible, irrevocable goods we do not issue refunds after the product is shipped, which you acknowledge prior to purchasing any product at our site. Prior to ordering, please, make sure you have carefully read and understood the product's system requirements, source codes and files types provided. If you are not sure about product compatibility, or have questions about product features, please contact our CUSTOMER SUPPORT CENTER. All inquiries are free of charge. We only make exceptions with this rule when the product cannot be installed for some reason on a server that meets product requirements. Your refusal to permit PHPjabbers.com to install the product (script, software) will void Your right to a refund. The deadline for any refund claim is one week after the date of purchase. Refunds are issued at the discretion of the company management.
